About the Company

Founded in Bucharest in 2020, SeedBlink initially developed as an equity-crowdfunding platform focused on European technology startups. It has since expanded into an integrated venture-deal execution platform covering fundraising preparation, regulated crowdfunding, private investment rounds, syndication, nominee infrastructure, equity and stakeholder management, employee share plans, portfolio monitoring and secondary transactions.

For companies, SeedBlink provides tools for preparing and executing fundraising rounds, organising investor documentation, managing cap tables and modelling dilution, administering employee stock-option plans and coordinating post-investment stakeholder relations. Its nominee structure can aggregate multiple investors into one entry on a company’s cap table, reducing administrative complexity for cross-border transactions.

For investors and angel networks, the platform offers access to selected private-company investment opportunities, syndicate infrastructure, portfolio tracking and routes to secondary transactions. SeedBlink’s Ventures platform connects project owners with investors under the European crowdfunding framework, while other services within the broader SeedBlink brand are supplied through distinct group entities and contractual models.

  • SeedBlink Secondaries – transaction infrastructure for selected private-company and pre-IPO share opportunities, offered through SeedBlink Benelux B.V.
  • Valuation and fundraising resources – valuation access through partners, equity calculators, investor databases, educational materials and the Funding Academy.
  • SeedBlink Legal – venture-focused legal services delivered by Andrei Hâncu Law Office and integrated into the broader SeedBlink ecosystem; this is not a legal service supplied under the crowdfunding licence.

Licences & Regulatory Status
  • European crowdfunding authorisation: SeedBlink S.A. is authorised by the Romanian Financial Supervisory Authority — Autoritatea de Supraveghere Financiară (ASF) — as a crowdfunding service provider under Regulation (EU) 2020/1503 on European crowdfunding service providers for business.
  • ASF authorisation and registration: The company was authorised through ASF Decision No. 151 of 3 November 2022 and is recorded in the ASF register under number PJR28FSFPR/400001.
  • EU passport: The authorisation permits the provision of covered crowdfunding services across the European Union through the ECSPR passporting framework, subject to the applicable notifications and regulatory requirements. SeedBlink is also listed in the ESMA register of European crowdfunding service providers.
  • Scope of the authorisation: The authorisation applies to the SeedBlink Ventures crowdfunding platform operated by SeedBlink S.A. It does not turn SeedBlink into a bank, investment bank or investment adviser, and SeedBlink’s terms state that the company does not provide investment advice.
  • Syndicates and Secondaries: Under the current group terms, the dedicated Syndicates and Secondaries platforms are operated by SeedBlink Benelux B.V., together with nominee infrastructure supplied by SeedBlink Nominee GmbH. SeedBlink’s terms state that these services are not regulated or authorised by a financial supervisory authority and that the relevant offers do not constitute crowdfunding under the ECSPR.
  • Bulletin Board: The bulletin board attached to SeedBlink Ventures operates under Article 25 of the ECSPR. It allows users to advertise buying or selling interest but does not match orders or execute contracts through an internal multilateral trading system; SeedBlink expressly states that it does not operate a trading venue.
  • 2026 ASF remediation decision: Following an unannounced supervisory inspection, ASF Decision No. 397 of 14 April 2026 required SeedBlink S.A. to implement a remediation plan within deadlines of five business days and 90 calendar days. The decision referred to the use of fiduciary or nominee structures in equity crowdfunding and ESMA’s related supervisory interpretation. The decision imposed corrective measures; it did not state that SeedBlink’s authorisation was withdrawn. The current ASF public register continues to list SeedBlink S.A. as an authorised provider.
